1.2. By accessing or using our Website and services, you (“User,” “Client,” or “you”) agree to comply with these Terms, UAE laws, and any applicable regulations.
1.3. If you disagree with any part of these Terms, you must immediately cease using our Website and services.
“Services”: Digital marketing, branding, development, and related offerings.
“Client”: Any individual or business engaging Advertern’s services.
“Content”: Text, graphics, logos, software, and materials on the Website.
“UAE Laws”: Federal and emirate-specific regulations, including but not limited to:
UAE Cybercrime Law (Federal Decree-Law No. 34 of 2021)
UAE Data Protection Law (Federal Decree-Law No. 45 of 2021)
UAE Consumer Protection Laws
3.1. Users must be at least 18 years old or legally authorized to enter contracts in the UAE.
3.2. Clients must provide accurate and complete information when registering or requesting services.
3.3. Advertern reserves the right to reject or terminate accounts violating these Terms.
4.1. Scope of Services:
Digital Marketing (SEO, PPC, Social Media, Email Marketing, etc.)
Branding (Logo Design, Corporate Identity, Brand Strategy)
Development (Web, Mobile Apps, Software Solutions)
4.2. Client Responsibilities:
Provide necessary materials (logos, content, access credentials) in a timely manner.
Ensure all provided content complies with UAE media and advertising laws.
4.3. Advertern’s Rights:
May reject projects involving illegal, unethical, or prohibited content under UAE law.
Retains the right to modify or discontinue services without prior notice.
5.1. Fees & Invoicing:
All fees are quoted in AED (UAE Dirhams) unless otherwise stated.
Payment methods: Bank transfer, credit/debit cards, or UAE-approved payment gateways.
5.2. Late Payments:
Overdue invoices may incur a 5% monthly penalty (as per UAE commercial laws).
Services may be suspended for non-payment.
5.3. Taxes:
VAT (if applicable) will be added as per UAE Federal Tax Authority (FTA) regulations.
6.1. Refund Eligibility:
Refunds for non-customized services (e.g., pre-packaged digital marketing plans) may be granted if requested within 7 days of purchase.
Customized services (e.g., branding, development) are non-refundable once work begins.
6.2. Cancellation by Client:
Must be submitted in writing.
Any deposits or advance payments may be forfeited if work has commenced.
6.3. Cancellation by Advertern:
We reserve the right to cancel services for violations of UAE laws or non-cooperation.
7.1. Advertern’s IP:
All Website content, trademarks, and proprietary tools remain Advertern’s exclusive property.
7.2. Client’s IP:
Clients retain ownership of their pre-existing logos, branding, and content.
Advertern may showcase completed work in portfolios unless a written NDA is in place.
7.3. Third-Party Content:
Clients must ensure they have legal rights to any third-party materials (images, fonts, etc.) used in projects.
8.1. UAE Data Protection Compliance:
Personal data is collected, stored, and processed per Federal Decree-Law No. 45 of 2021.
8.2. Data Usage:
Used only for service delivery, marketing (with consent), and legal compliance.
8.3. User Rights:
Users may request access, correction, or deletion of their data.
8.4. Confidentiality:
Advertern will not disclose client information unless required by UAE authorities.
9.1. Advertern is not liable for:
Indirect, incidental, or consequential damages.
Delays or failures due to third-party providers (hosting, social media platforms).
Client’s misuse of services.
9.2. Maximum liability is limited to fees paid for the specific service in dispute.
10.1. Applicable Law: These Terms are governed by UAE Federal Laws.
10.2. Jurisdiction: Disputes shall be resolved in Dubai Courts unless settled via arbitration.
10.3. Amicable Settlement: Parties agree to negotiate in good faith before legal action.
11.1. Advertern may update these Terms at any time; continued use constitutes acceptance.
11.2. We may terminate services for:
Breach of Terms.
Non-payment.
Illegal or fraudulent activities.
Advertern is not responsible for delays/cancellations due to:
Natural disasters.
Government restrictions (e.g., UAE cybersecurity regulations).
Pandemics, wars, or other unforeseeable events.
